These Shoply AI Terms of Service (the “Terms”) are an agreement between Shoply AI, Inc., together with its affiliates (“Shoply,” “we,” “our,” or “us”), and the business or person that installs, signs up for, or uses Shoply AI (“you”). These Terms govern your use of Shoply’s AI search, AI chat, live chat, AI Email Assistant, Gmail add-on, merchant admin, APIs, and related websites and services (the “Services”).
If you use the Services for a business or other organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization. Support agents who use Shoply Live Chat are also subject to the Shoply Live Chat Terms of Use. Any separate written agreement between you and Shoply controls if it conflicts with these Terms.
By installing Shoply AI from the Shopify App Store, creating a Shoply account, connecting a mailbox, installing the Gmail add-on, or otherwise using the Services, you agree to these Terms, the Privacy Policy, and the Acceptable Use and Community Standards. You must be legally able to enter into these Terms. If you do not agree, do not use the Services.
Shoply provides AI tools that help businesses answer shoppers and customers, including AI product search, an AI chat assistant on your storefront or website, a live chat inbox for your support agents, and an AI Email Assistant that helps answer the customer emails you receive. Features available to you depend on your plan, your platform, and features we make available to your store, which may include features offered as a pilot or beta.
You must provide accurate information and keep your account credentials, store owner API secrets, and other access keys confidential. You are responsible for activity under your account and keys, including activity by your staff and by integrations you authorize. Revoke a key and notify us promptly at support@shoplyai.ai if you suspect it has been exposed or misused.
Paid plans are billed through the channel you used to subscribe. For Shopify stores, charges are approved and billed through Shopify under Shopify’s billing terms. For other websites, charges are billed through Shoply’s checkout. Plan prices, usage limits, renewals and trial terms are shown when you subscribe. Unless required by law or stated otherwise at purchase, fees are non-refundable. We may change prices with advance notice before your next billing period.
You keep your rights in the content you and your customers provide to the Services, including store information, product data, conversations and emails (“Your Content”). You grant Shoply the rights reasonably necessary to host, copy, process, transmit and display Your Content to provide, secure and support the Services for you. Shoply processes your customers’ personal information on your behalf, as described in the Privacy Policy.
You are responsible for having the rights, notices and permissions required by law to let Shoply process Your Content, including telling your customers, where required, that you use AI tools and service providers to answer them.
The Services use AI models, including models provided by third parties, to search your catalog, answer questions, and write drafts and replies. AI output can be incomplete, inaccurate or inappropriate. You are responsible for the settings you choose, for reviewing drafts before you send them, and for answers the Services give your customers in your name, including answers sent automatically under settings you enabled. Do not rely on AI output as professional, legal, medical, financial or other expert advice.
You may connect a Gmail, Google Workspace, Microsoft Outlook or Microsoft 365 mailbox, forward support email to Shoply, or use the Shoply add-on in Gmail. You may connect only mailboxes that you own or are authorized to connect for your business. When you connect a mailbox, you authorize Shoply to read new messages that arrive in its inbox, to write suggested replies, to save those replies as drafts, and, only for the kinds of messages you select for automatic sending, to send replies from that mailbox on your behalf. Shoply does not take actions on customer orders, such as cancelling an order or issuing a refund, while writing an email reply.
You can change these settings or disconnect a mailbox at any time in your Shoply admin. Disconnecting stops Shoply from reading the mailbox, deletes the stored access token, and asks Google or Microsoft to revoke Shoply’s access. Your use of Gmail or Microsoft services remains subject to Google’s and Microsoft’s own terms. The Privacy Policy describes how Shoply handles mailbox data, including Google user data under the Google API Services User Data Policy.
You must comply with Shoply’s Acceptable Use and Community Standards, which are incorporated into these Terms. Among other things, you may not use the Services to send spam or unsolicited messages, deceive or harass people, violate privacy or intellectual-property rights, distribute malware, or interfere with or attempt to bypass the security or usage limits of the Services.
Shoply and its licensors keep all rights in the Services, including software, models we develop, interfaces, designs, documentation and trademarks. Subject to these Terms and payment of applicable fees, Shoply grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your business. You may not copy, resell, sublicense, reverse engineer or create derivative works from the Services except where the law does not permit this restriction. If you send us feedback, we may use it without restriction or compensation.
The Services work with third-party platforms and providers, such as Shopify, Google, Microsoft, hosting providers and AI model providers. Their own terms and policies apply to your use of their services, and Shoply is not responsible for a third party’s service, availability or changes.
Shoply may add, change, suspend or discontinue features, and may set reasonable limits needed for security, reliability, legal compliance or operation of the Services. The Services may occasionally be unavailable because of maintenance, third-party failures or events outside Shoply’s reasonable control. Shoply does not guarantee uninterrupted or error-free operation.
You may stop using the Services at any time by uninstalling the app, cancelling your plan, or closing your account. Shoply may restrict, suspend or terminate your access if we reasonably believe you violated these Terms, created a security or legal risk, or failed to pay fees when due. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limitations and dispute provisions.
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Shoply disclaims implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and does not warrant that the Services, AI output or third-party content will always be accurate, complete, secure or available. These disclaimers do not limit rights that cannot lawfully be waived.
To the maximum extent permitted by law, Shoply and its affiliates, officers, employees, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, goodwill, data or business interruption arising from the Services. Shoply’s total liability arising from these Terms will not exceed the greater of US $100 or the amount you paid Shoply for the Services during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law.
To the extent permitted by law, you will defend and indemnify Shoply against third-party claims arising from Your Content, your use of the Services in violation of these Terms or applicable law, or messages sent from your mailbox under settings you enabled.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Except where applicable law requires otherwise, disputes arising from these Terms or the Services will be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to those courts’ jurisdiction.
These Terms, together with the incorporated policies and any separate written agreement with Shoply, are the entire agreement concerning the Services. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without Shoply’s consent; Shoply may assign them as part of a merger, acquisition, reorganization or sale of the relevant business.
Shoply may update these Terms as the Services, business practices or legal requirements change. The updated date above identifies the current version. Shoply will give additional notice of material changes when required by law or an applicable agreement. Continued use after updated Terms take effect constitutes acceptance where permitted by law.
Questions about these Terms may be sent to customer-obsession@shoplyai.ai.
